Welcome to Talkbar.ai or Talkbar (“Product” or “Service”), a smart AI-powered chat interface developed by Talkbar AI LLC. (“Company”, “we”, “our”, or “us”). By accessing, installing, integrating, or using Talkbar.ai in any way, the User and/or Customer agree to comply with and be legally bound by the following Terms of Use (“Terms”). Your use of the Service is also subject to our Privacy Policy, which is incorporated herein by reference and available separately at talkbar.ai/privacy.
For the purpose of these Terms:
- Customer refers to any individual or legal entity that purchases, subscribes to, or otherwise obtains access to Talkbar for the purpose of deploying it on their website, application, or digital platform. Customers are responsible for managing their implementation of Talkbar and ensuring that it is used in compliance with applicable laws and these Terms.
- User refers to any individual who interacts with or uses Talkbar through a Customer’s website or platform.
- Scope of Services
- Overview of Services
Talkbar provides an AI-powered chat interface that can be integrated with a Customer’s website either as an overlay or within an existing search element. The Service enables Users to enter natural language queries and receive contextual results generated from the Customer’s authorized content.
- Content Crawling and Indexing
To enable the Service, Talkbar may crawl, process, and index content authorized by the Customer, which may include but is not limited to:
- Publicly accessible website URLs
- Documentation
- Uploaded files such as PDFs
- Social media accounts
This content is processed to create a searchable knowledge base that powers the Service.
- Integration
Once content has been processed, Talkbar provides the Customer with embeddable code for integration into the Customer’s website. When deployed, this code activates an interactive interface through which Users may submit queries and receive contextual responses.
- Generated Responses
Responses are generated by AI models that analyze and surface information from the indexed content. These outputs are intended to facilitate information access and discovery for Users, reducing the need to manually browse through menus, FAQs, or help articles.
- Service Limitations
While Talkbar is designed to improve information accessibility, the Customer acknowledges and agrees that:
- Generated responses may not always be accurate, complete, or up-to-date
- The Service is intended for informational purposes only and is not a substitute for professional advice (including but not limited to legal, financial, medical, or technical advice)
- The quality and accuracy of responses depend on the content made available by the Customer
- Third-Party Integrations
Talkbar may integrate with third-party platforms including but not limited to Shopify, CRM systems, and marketing platforms. The Company is not responsible for any outages, API changes, data handling practices, or policy violations by third-party providers that may affect the Service. Customers are responsible for ensuring their use of third-party integrations complies with the respective platform’s terms of service.
- Modifications to the Services
Talkbar reserves the right to enhance, modify, or discontinue any aspect of the Service at any time, provided that such changes do not materially diminish the core functionality described herein. Customers will be notified of material changes via email with at least 30 days’ advance notice.
- Overview of Services
- Eligibility & Authorization to Use
Customer and/or User represent and warrant that:
- Customer and/or User are authorized to use Talkbar.ai either on your own behalf or on behalf of an organization that has granted you permission.
- Customer and/or User have obtained all necessary rights, licenses, or consents to access and use the Product in connection with the website or system it is deployed on.
- Customer and/or User will not use Talkbar.ai in violation of any applicable law, contract, intellectual property right, or other third-party right.
- Prohibited Use & Misuse
Customer and/or User agree not to:
- Use the Product for any unlawful, harmful, abusive, or fraudulent purpose.
- Interfere with or disrupt the integrity or performance of the Product.
- Access the Product to build a competitive product or service.
- Use the Product to extract or replicate content in a manner that infringes on copyright or proprietary rights.
- Attempt to reverse engineer, decompile, or otherwise derive the source code of the Product.
- Use Talkbar.ai to collect sensitive or personal information without proper legal basis or user consent.
Any unauthorized, abusive, or malicious use of Talkbar.ai is strictly prohibited and may result in immediate suspension or termination of access.
- AI-Generated Content Disclaimer
Talkbar.ai uses artificial intelligence technologies to generate and deliver answers. Customer and/or User acknowledge and agree that:
- Responses provided by the Product are AI-generated and may not always be accurate, complete, or reliable.
- The Product may not reflect the views or policies of the Company.
- You are solely responsible for verifying any information obtained through Talkbar.ai before relying on it or acting upon it.
- The Company shall not be liable for any loss, harm, or damage arising from reliance on AI-generated content.
- Subscription, Billing & Payment
- Subscription Plans
Talkbar.ai is offered on a subscription basis with both monthly and annual billing options. By subscribing, Customer agrees to pay all fees associated with the selected plan at the rates in effect at the time of purchase
- Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. The Company will charge the payment method on file at the start of each new billing period.
- Refund Policy
All subscription fees are non-refundable after the date of purchase. The Company does not offer pro-rated refunds for partial periods or unused time. If you believe you have been charged in error, please contact support@talkbar.ai within 7 days of the charge.
- Price Changes
The Company reserves the right to modify pricing at any time. Customers will be notified of price changes via email at least 30 days prior to the next billing cycle. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.
- Cancellation
Customers may cancel their subscription at any time. Upon cancellation, access to the Service will continue until the end of the current billing cycle. No partial refunds will be issued for the remaining period. After the billing cycle ends, the Customer’s account and associated data will be subject to the data retention policy described in Section 6.

- Privacy Policy
The collection, use, storage, and disclosure of personal data in connection with the Service is governed by Talkbar’s Privacy Policy, which is incorporated into these Terms by reference. By using the Service, Customer and/or User agree to the terms of the Privacy Policy. The Privacy Policy is available at talkbar.ai/privacy or upon request at support@talkbar.ai.
- Data Retention
Customer content, conversation logs, and interaction data are retained for as long as the Customer’s account remains active. Upon account cancellation or termination:
- All Customer data will be retained for 90 days following the date of account cancellation to allow the Customer to export or retrieve their data.
- After 90 days, all Customer data will be permanently deleted from our systems, unless retention is required by applicable law.
- Customers may request early deletion of their data at any time by contacting support@talkbar.ai.
- Third-Party AI Models
Talkbar’s Service is powered in part by third-party AI model providers, which may include but are not limited to OpenAI and Google (Gemini). When a User submits a query, that query and relevant context may be transmitted to these third-party providers to generate a response.
The Company does not use Customer content to train its own models. However, the Company cannot guarantee how third-party AI providers process, retain, or use data transmitted to their systems. Customers are strongly encouraged to review the data usage and privacy policies of the relevant third-party AI providers:

By using the Service, Customer and/or User acknowledge and accept that data may be processed by third-party AI providers subject to their own terms and policies. Customers with strict data residency or confidentiality requirements should contact support@talkbar.ai before deploying the Service.
- Customer Responsibilities
Customer and/or User are responsible for ensuring that their use of the Product complies with all applicable privacy laws (including but not limited to GDPR) and that appropriate disclosures are made to end-users of their site or application, including obtaining any necessary consents for data collection and AI processing.
- Privacy Policy
- Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Service, including but not limited to Customer’s website content, business data, and proprietary information (“Confidential Information”). The receiving party shall:
- Use Confidential Information solely for the purpose of providing or using the Service
- Not disclose Confidential Information to any third party without prior written consent
- Protect Confidential Information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care
This obligation of confidentiality survives termination of these Terms for a period of three (3) years.
- Intellectual Property
All rights, title, and interest in and to Talkbar.ai, including but not limited to its software, design, algorithms, content, and branding, are owned by the Company. These Terms do not grant you any ownership interest or rights in Talkbar.ai, other than the limited right to use the Product as expressly provided herein.
Customer retains all ownership rights to their content, data, and intellectual property submitted to or indexed by the Service. By using the Service, Customer grants the Company a limited, non-exclusive license to access and process such content solely for the purpose of providing the Service.
- Modifications and Termination
We reserve the right to modify, suspend, or terminate the Product or your access to it. In the event of material changes to these Terms or the Service, the Company will provide at least 30 days’ advance notice via email to the registered account address.
Continued use of the Product following any modifications to these Terms constitutes your acceptance of those changes. If you do not agree to the modified Terms, you must discontinue use of the Service and cancel your subscription before the changes take effect.
The Company reserves the right to terminate access without notice in cases of violations of these Terms, applicable laws, or fraudulent activity.
- Limitation of Liability
The Product is provided “as-is” and “as available” with no warranties, express or implied. The Company disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.
Under no circumstances shall the Company be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of data, revenue, or profits, arising from or related to the use of the Product.
The Company’s total aggregate liability to the Customer for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by the Customer to the Company in the three (3) months immediately preceding the event giving rise to the claim.
- Indemnification
Customer and/or User agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, employees, and agents from and against any and all claims and expenses (including reasonable legal fees) arising out of or related to your:
- Use or misuse of Talkbar.ai
- Violation of these Terms
- Breach of applicable law or right of a third party
- Negligence and/or misconduct
- Force Majeure
The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, power outages, internet service disruptions, third-party AI provider outages, cyberattacks, government actions, or any other event outside the Company’s reasonable control (“ForceMajeure Event”).
In the event of a Force Majeure Event, the Company will notify affected Customers as soon as reasonably practicable and will use commercially reasonable efforts to resume normal operations.
- Dispute Resolution & ArbitrationPLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
- Informal Resolution
Before initiating any formal dispute resolution, the parties agree to attempt to resolve any dispute, claim, or controversy informally by contacting the Company at support@talkbar.ai. The parties will negotiate in good faith for at least 30 days before pursuing arbitration or other legal remedies.
- Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, rather than in court, except as provided in Section 13.4 below.
- Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
- Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property infringement, unauthorized access, or confidentiality breaches.
- Informal Resolution
- Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes not subject to arbitration under Section 13 shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.
- Changes to Terms & Privacy Policy
The Company reserves the right to update or revise these Terms and Privacy Policy at any time. For material changes, the Company will provide at least 30 days’ advance written notice to the Customer’s registered email address prior to the changes taking effect. Non-material changes (e.g., typographical corrections, clarifications) may take effect immediately upon posting.
It is the Customer’s responsibility to ensure their registered email address is current. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
